Chapter 1 General provisions
- Definitions
In these General Terms and Conditions and its provisions the following terms shall have the following meaning:
- account: the identification granting the user access to services of the company;
- activity: all services provided by the company;
- consumer: the buyer, natural person who does not act in the exercise of profession or company;
- durable data carrier: any means which enables the company to personally store information addressed to it in a way that makes this information accessible for future use during a period that is adjusted to the purpose for which the information is intended, and which enables an unaltered representation of the stored information;
- user: the natural or legal person, who provides the assignment for the activities;
- company: the natural or legal person, who acts within their trade, business, craft or profession, whether or not through another person who acts for them on their behalf;
- unambiguous statement: the statement of the user to the company which can be interpreted in only one way. In all cases, the statement contains :
- name of the user;
- (billing) address;
- postal code;
- city;
- telephone number;
- email address ;
- order number;
- assignment to which the statement relates.
- assignment: the agreement between the user and the company;
- Distance contract: the contract conducted between the company and the user in the light of an organized system for distance services without simultaneous presence of the company and user, and where only one or more techniques for distance communication are used, up to and including the conclusion of the agreement.

- The company
- These general terms and conditions are applicable to every website and app related to The Calisthenics Club, including https://tcc.cloud-sportdata.org.
- Applicability
- These general terms and conditions apply to every offer made by the company and to every distance contract concluded between the company and the user.
- Prior to conclusion of the distance contract, the text of these general terms and conditions will be made available to the user. If this is not reasonably possible, before the distance contract is concluded, it will be indicated that the general conditions and terms can be viewed at the company and they will be sent as soon as possible, free of charge, upon request of the user.
- In the event of electronic conclusion of the distance contract, deviating from the previous paragraph and before the distance contract is concluded, the text of these general terms and conditions can be made electronically available to the user, in such a way that the user can easily store them on a durable data carrier. If this is not reasonably possible, prior to conclusion of the distance contract, it will be indicated where the general terms and conditions can be viewed electronically and they will be sent free of charge upon request of the user by electronic means or otherwise.
- The general terms and conditions can at all times be viewed on the websites of the company.
- In the event that specific service conditions apply in addition to these general terms and conditions, the second and third paragraphs of the corresponding application and the user may always rely on the applicable provision that is most favorable for him, in case of conflicting general terms and conditions.
- Additional or deviating provisions
Additional or deviating provisions in these general terms and conditions may not be at a disadvantage of the user and must be documented in writing or in such a way that these can be easily stored on a durable data carrier by the user.
Chapter 2 The agreement
- Position of the company
- The company provides a platform that connects the user with other practitioners, enthusiasts, interested people of calisthenics or calisthenics clubs, trainers and unions worldwide.
- No liability will be assumed by the company for interpreting information provided on the website. In particular information provided by other users.
- Agreement
- The agreement is, subject to the provisions made in paragraph 4, concluded when the account is registered by the user at the company and meets the associated conditions, as determined in article 9 of these conditions.
- If the user accepts the offer via electronic means, the company will immediately confirm receipt of the acceptance of the offer via electronic means. The user can dissolve the agreement, as long as the company has not confirmed the receipt of this acceptance.
- If the agreement is established through electronic means, the company takes appropriate technical and organizational measures to secure the electronic data transfer and will ensure a secure web environment. If the user is able to make an electronic transaction, the company undertakes appropriate safety measures.
- In case the company, after conclusion of the agreement, comes to knowledge about circumstances which suggests good ground to suspect the user not fulfilling his obligation to pay, the company may suspend his fulfilment of the agreement, dissolve the agreement or attach special conditions to the implementation of the agreement.
- The company provides the user together with the service the following information, in writing or in such a manner that this can be stored in an accessible way by the user on a durable data carrier, with:
- the visiting address of the branch of the company where the user can address complaints;
- the conditions and the manner in which the user can make use of the right of withdrawal, or a clear notification regarding the exclusion of the right of withdrawal;
- the information about the warranty and existing services after purchase or delivery;
- the requirements to cancel the agreement in case the agreement has a duration of longer than one year or indefinite period.
Chapter 3 Execution of the agreement
- Agreement
- The company takes utmost caution when assessing applications for the provided services and executing the assignment.
- The company ensures the correct implementation of the activity when accepting the assignment, with the acquired necessary knowledge and competence.
- In case that execution of the activity has to be transferred, or in case the activity can not, or can only partially be executed, the user will immediately be notified. In that case the user has the right to dissolve the agreement.
- If a term of delivery for the service has been agreed on between company and user, this term is not a firm date, unless explicitly agreed otherwise.
- If the term of delivery is exceeded, this shall not form a ground for compensation or dissolution unless it is explicitly agreed that the term is regarded as a firm date.
Chapter 4 Specific provisions
- Register
- User is obliged to register at the company, by means of creating an account, before being able to use the services of the company.
- The information collected by the company when creating an account is necessary for the performance of the services.
- Upon registration, the user is obliged to provide the correct, by the company requested information. If data that are necessary for the performance of the services change, the user informs the company promptly.
- After creating the account, the user selects a unique username and password. Passwords and usernames are personal and should not be shared with others.
- Confidentiality
- Both parties are obliged to confidentiality for all the confidential information received in the framework of the agreement or from any other source. Information is considered confidential if this is communicated by the other party, or if this results from the nature of the information.
- If the user is obliged, pursuant to statutory provision or a legal ruling, to disclose confidential information to third-parties designated by the law or the competent court, and the supplier is unable to invoke a right to privilege recognized or permitted by statute or by the competent court, the user is not obliged to pay compensation for damages or other compensation and the counterparty is not entitled to dissolve the agreement on the ground of any losses thus caused.
- Intellectual Property
- The Company will at all times retain the rights to all intellectual properties which arise as a result of the services provided by the company, unless explicitly agreed otherwise.
- All rights to intellectual or industrial property, as well as similar rights to information protection, which relate to the by the company provided and by the user received products and/or services, will remain property of the company. Nothing in the agreement concluded or to be concluded with the user will lead to the transfer of such rights, unless explicitly agreed otherwise.
- The user incurs only, unless parties explicitly agreed otherwise, a non-exclusive and non-transferable right of use for the use of the products and results of the services of the agreed targets. With such use the user will comply to the conditions, set out in the general terms and conditions or otherwise imposed to the user.
- The user is not entitled to use the products and results of the services other than for the benefit of the use of the goods to which they relate.
- The user is not entitled to multiply and/or disclose the products and results of the services to third parties, or the information contained therein or otherwise known to him/her, unless the company explicitly authorizes this in writing.
- The user will not delete or alter indications of the company or her suppliers regarding copyrights, trademarks, trade names or other rights to intellectual property.
- The company guarantees that they are entitled to grant the right of use to the user and indemnifies the user against any claims by third parties in this respect. This provision does not apply if and insofar as the products and/or results of the services have been altered and/or if these have been delivered in conjunction with supplies of a third party, unless the user demonstrates in the latter case that the claims of third parties exclusively relate to the products delivered by the company and/or results of the services.
- In the event of violation of the provisions in the previous paragraphs, the user will owe the company a fine of € 4500,00 per violation, regardless of the other rights of the company to fulfilment, dissolution, compensation and such.
- Legal and Regulatory Compliance
- User shall not perform any acts that are contrary to this agreement, or that conflict with legislation or regulations.
- User shall only use the platform for which it is intended. The user shall refrain from any act, of which they know that the platform, or the co-user can cause damage.
- Hosting and service
- Client will not make available or offer any information (through the servers or the website of) to the company which is in breach of Dutch law. This includes, in particular, but not only information which is obtained and offered without prior consent of the copyright holder(s), information which is defamatory, intimidating, offensive, racist, inflammatory or discriminatory, information containing child pornography and information that violates the privacy of third parties or results in any form of stalking, and also hyperlinks, torrents or other references to such information on sites of third parties anywhere in the world (even when the information would be legal in the jurisdiction concerned).
- If a complaint, taking into account the provisions of paragraph 1, reaches the company and is justified, the company is entitled to remove or block the material. In addition the company is in that case entitled to provide the notifier or competent authorities with personal data of the client. The company shall inform the client regarding the conduct of the proceedings.
- In case of unlawful information, the company is entitled to report this. The company can transmit all relevant information about the client and transmit the information to the competent authorities and take all other actions required by these authorities as part of the investigation.
- In case of repeated (justified) complaints pertaining to offered information by the client, the company is entitled to terminate the agreement.
- The client indemnifies the company for any damage resulting from the above. The company is not liable for any damage of any kind suffered by the client as a result of intervention by the company as part of the complaints procedure, even if the complaint proves to be unjustified and the information is not conflicting with Dutch law.
- The client shall refrain from being a nuisance to other customers or internet users or causing damage to the servers. The client is not permitted to start up processes of programs, whether or not via the server, that the client knows or can reasonably presume will be a nuisance to the company, other clients or internet users or cause damage. The company shall notify the client regarding possible measures.
- The company provides a maintenance contract with respect to the maintenance of the website.
- In case the client makes use of the maintenance contract, the license of the design theme will, during the duration of the maintenance contract, also fall under its scope.
- In case the client does not make use of the maintenance contract, the license for the design theme will be assigned to the client. The company cannot be held responsible for non-payment, extension or update of the license, in case no use is made of the maintenance contract.
- Next to the obligations stemming from the law, damages that arise from incompetence or not acting in accordance with abovementioned are for the account of the client.
- Force Majeure and technical malfunctions
- The company can, for maintenance, adjustment or improvement of its systems, temporarily take its systems offline. The company intends to only take the systems offline during periods in which the user is least affected. The company is not liable for any damage of the user as a result of taking the systems offline.
- If telecommunication facilities are used during the maintenance and support or other services provided by or on behalf of the company, parties are each responsible for the right decision and timely availability at their side. The company is not liable for mutilation, data interception or loss or processing results during the transfer of data with the help of telecommunication facilities.
- The company can make the necessary adaptations for the purpose of the functionality or errors. In case the company makes such adaptations, the user will be informed accordingly to the extent possible. The user cannot refrain from the adaptations, in case the adaptations are applicable to a group of users. The company is not liable for any damage caused by the user as a result of the adaptations to the systems.
- The company exerts its best efforts to minimize the period of decommissioning and the consequences of the adaptation for the user. In addition, the company intends to give an indication for the duration and nature of the decommissioning or adaptation.
- In case the company is not able to deliver as a result of force majeure, the agreement will be suspended. If the force majeure situation persists for more than 90 days the user is free to terminate the agreement. The company is not liable for any damages that stem from force majeure.
- Force majeure is in any case understood as: breakdowns or failure of the internet, the telecommunication infrastructure, Synflood, network attack, DoS- or DDos-attacks, power failures, internal civil commotion, mobilization, war, obstruction in transport, strike, lockout, business disruptions, delay in supply, fire, flood, import and export impediments, and in the event that the company is not able to deliver by means of its own suppliers, irrespective of the reason.
- None of the parties is responsible towards another for any delay, non-performance, loss, damage or injuries resulting from natural disasters, strikes, disqualification, civil unrest, disturbances, fire, explosion, sabotage, death, injury, illness, invalidity or costs brought about by war, invasion, storm, flood, earthquake, fog or confiscating materials and or troops for national use.
Chapter 5 Dissolution, indemnity and disputes
- Dissolution, alteration, transfer by the user
- After confirmation of the agreement by the company, the user can dissolve the agreement without any ground.
- The user exercises the right of withdrawal by immediately giving the company an unambiguous statement to that effect, stating the grounds of dissolution and the date on which the dissolution occurs.
- If the user makes use of the right of withdrawal, the day on which the user has terminated the agreement will be the day on which the unambiguous statement reached the company.
- The burden of proof lies with the user for the correct and timely exercise of the right of dissolution.
- Dissolution, alteration, transfer by the company
- The company can dissolve, alter or transfer the agreement without any ground.
- The company informs the user in writing, through an unambiguous statement and referring to the reason of dissolution, alteration or transfer, immediately after onset of the delay, of the date of onset of the delay.
- The company is not liable for any (further) damage. Only the user is liable for any further damage caused by the dissolution.
- Liability
- The company is liable towards the user for accountable deficiencies. Insofar compliance is not already permanently impossible, this paragraph will only be applicable in respect to the legal regulation of neglect by the debtor.
- Indemnity
- The company is, in case of accountable deficiencies, liable for compensation of direct damage.
- Every liability of the company is limited to the amount that will be paid in the specific situation arising from the concluded liability insurance(s), increased with the amount of the deductible excess which shall be borne by the company in accordance with the policy conditions. If, for any reason whatsoever, no sum is paid out pursuant to this insurance, any liability shall be limited to the fee which is paid for the execution of the assignment.
- Company cannot be held liable for indirect damages. Indirect damages include:
a) consequential damage;
b) loss of profit;
c) immaterial damage of the user;
d) missed savings;
e) business interruptions;
f) devaluation of products.
- The user is responsible for the correct delivery of his personal information, such as name, address details and other information required for the correct execution of the agreement. The company cannot be held responsible for damage resulting from incorrect information provided by the user that is required for the proper execution of the agreement.
- The company cannot be held liable for damage resulting from sharing or making available otherwise of the username and/or password of the user. Storing usernames and/or passwords on a durable data carrier, or in any other way by the user will be borne entirely by the user. Furthermore, the company cannot be held liable in any way for the unauthorized distribution of usernames and/or passwords of the user, in case user makes use of third party support programs to store or remember the usernames and/or passwords.
- The company cannot be held liable for damage of any item of property of the user, caused by information in the app, nor for damage caused by using the app in the water. In particular, reference is made to damage to ships by the seizure caused by issuing tidal information wrongly or (water)damage to phones or other devices caused by using the app in the water.
- As a starting point for indemnity, the status of the legislation will always be taken at the time of the conclusion of the agreement. The company cannot be held liable for damage resulting from changed legislation or changed techniques after the conclusion of the agreement, unless the company should have known about the change at the time of the agreement.
- The user is obliged, unless this cannot be required of them due to circumstances, in good consultation, to give the company the opportunity, within a reasonable time of its accountable deficiencies for which the company is liable, to repair the deficiencies, or limit or eliminate the consequential damage, without prejudice to the company’s liability for damage as a result of the deficiencies.
- In the determination of the compensation in case of exceeding its authority of representation, in addition to the other relevant facts and circumstances, the extent to which the user benefits from the consequences of exceeding its authority is taken into account.
- A compensation based on the above rules does not apply insofar as this compensation is unacceptable in the circumstances, by reason of reasonableness and fairness.
- Complaints
- The company has an adequately known complaints procedure and handles the complaint in accordance with this complaints procedure.
- Complaints about the execution of the agreement must be submitted to the company within 14 days, fully and clearly described, after the user has noted the deficiencies. Complaints can be referred to the company by means of an unambiguous statement, with respect to the provisions in Article 1 under g of these conditions.
- Complaints submitted to the company are answered within a period of 14 days from the date of receipt. If a complaint requires a foreseeable longer processing time, the company will respond within the period of 14 days with a acknowledgement of receipt, and an indication when the user can expect a more elaborate reply.
- If the complaint cannot be resolved by mutual agreement, a dispute arises that is susceptible to the dispute settlement.
- Alterations in the General Terms and Conditions
- The company has the authority to alter these general terms and conditions.
- Alterations will only be binding for the user if the company has informed the user of the alterations to the general terms and conditions, and fourteen days after such notification have passed without the user giving the company notice in writing not to agree with the alterations.
- Disputes
- The agreements between the company and the user to which these general terms and conditions apply, are exclusively governed by Dutch law.
- Any disputes between parties arising from this agreement shall, if not otherwise agreed between the parties, be submitted by the most diligent party to a competent Dutch Court of the place of establishment of the company.
- If by judicial decision one or more articles of these conditions are declared invalid, other provisions of these general terms and conditions will remain in full force, and company and user will enter into consultation in order to agree on new provisions to replace the void or nullified provisions, in which the purpose and intent of the void or voided provision are taken into account as much as possible.
- In case of discrepancies or differences in interpretation between the English and Dutch version of this Agreement, the original Dutch version will prevail.

Hoofdstuk 1 Algemene bepalingen
- Definities
In deze algemene voorwaarden en de daarop berustende bepalingen wordt verstaan onder:
- account: de identificatie die gebruiker toegang verleent tot de diensten bij ondernemer.
- activiteit: alle door de ondernemer aangeboden diensten;
- consument: een natuurlijke persoon die niet handelt in het kader van haar handels-, bedrijfs-, ambachts- of beroepsactiviteit;
- duurzame gegevensdrager: ieder hulpmiddel dat de ondernemer in staat stelt om persoonlijk aan haar gerichte informatie op te slaan op een wijze die deze informatie toegankelijk maakt voor toekomstig gebruik gedurende een periode die is aangepast aan het doel waarvoor de informatie is bestemd, en die een ongewijzigde weergave van de opgeslagen informatie mogelijk maakt;
- gebruiker: de natuurlijke of rechtspersoon die de opdracht voor de werkzaamheden verstrekt;
- ondernemer: de natuurlijke of rechtspersoon die in het kader van haar handels-, bedrijfs-, ambachts- of beroepsactiviteit handelt, al dan niet mede via een andere persoon die namens haar of voor haar rekening optreedt;
- ondubbelzinnige verklaring: de verklaring van een gebruiker aan ondernemer die slechts voor één uitleg vatbaar is. De verklaring bevat in ieder geval:
- naam van de gebruiker;
- (factuur)adres;
- postcode;
- woonplaats;
- telefoonnummer;
- e-mailadres;
- ordernummer;
- opdracht waarop de verklaring betrekking heeft.
- opdracht: de overeenkomst tussen gebruiker en ondernemer
- overeenkomst op afstand: de overeenkomst die tussen de ondernemer en de gebruiker wordt gesloten in het kader van een georganiseerd systeem voor dienstverlening op afstand zonder gelijktijdige persoonlijke aanwezigheid van ondernemer en gebruiker en waarbij, tot en met het moment van het sluiten van de overeenkomst, uitsluitend gebruik wordt gemaakt van een of meer middelen voor communicatie op afstand;

- De onderneming
- Deze algemene voorwaarden zijn van toepassing op iedere aan The Calisthenics Club gelieerde website, waaronder https://tcc.cloud-sportdata.org.
- Toepasselijkheid
- Deze algemene voorwaarden zijn van toepassing op elk aanbod van de ondernemer en op elke totstandgekomen overeenkomst op afstand tussen ondernemer en gebruiker.
- Voordat de overeenkomst op afstand wordt gesloten, wordt de tekst van deze algemene voorwaarden aan de gebruiker beschikbaar gesteld. Indien dit redelijkerwijs niet mogelijk is, zal voordat de overeenkomst op afstand wordt gesloten, worden aangegeven dat de algemene voorwaarden bij de ondernemer zijn in te zien en zij op verzoek van de gebruiker zo spoedig mogelijk kosteloos worden toegezonden.
- Indien de overeenkomst op afstand elektronisch wordt gesloten, kan, in afwijking van het vorige lid en voordat de overeenkomst op afstand wordt gesloten, de tekst van deze algemene voorwaarden langs elektronische weg aan de gebruiker ter beschikking worden gesteld op zodanige wijze dat deze door de gebruiker op een eenvoudige manier kan worden opgeslagen op een duurzame gegevensdrager. Indien dit redelijkerwijs niet mogelijk is, zal, voordat de overeenkomst op afstand wordt gesloten, worden aangegeven waar van de algemene voorwaarden langs elektronische weg kan worden kennisgenomen en dat zij op verzoek van de gebruiker langs elektronische weg of op andere wijze kosteloos zullen worden toegezonden.
- De algemene voorwaarden zijn te allen tijde te raadplegen op de websites van de ondernemer.
- Voor het geval dat naast deze algemene voorwaarden tevens specifieke dienst voorwaarden van toepassing zijn, is het tweede en derde lid van overeenkomstige toepassing en kan de gebruiker zich in geval van tegenstrijdige algemene voorwaarden steeds beroepen op de toepasselijke bepaling die voor hem het meest gunstig is.
- Aanvullende of afwijkende bepalingen
Aanvullende dan wel van deze algemene voorwaarden afwijkende bepalingen mogen niet ten nadele van de gebruiker zijn en dienen schriftelijk te worden vastgelegd dan wel op zodanige wijze dat deze door de gebruiker op een toegankelijke manier kunnen worden opgeslagen op een duurzame gegevensdrager.
Hoofdstuk 2 De overeenkomst
- Positie van ondernemer
- Ondernemer biedt een platform dat gebruiker in contact brengt met ander beoefenaars, liefhebbers, geïnteresseerden van calisthenics of wereldwijde calisthenics clubs, trainers en bonden.
- Ondernemer aanvaardt geen aansprakelijkheid voor het interpreteren van informatie geleverd op de website. In het bijzonder informatie verstrekt door andere gebruikers.
- Overeenkomst
- De overeenkomst komt, onder voorbehoud van het bepaalde in lid 4, tot stand op het moment van het registreren van een account door de gebruiker bij ondernemer en het voldoen aan de daarbij gestelde voorwaarden, als bedoeld in artikel 9 van deze voorwaarden.
- Indien de gebruiker het aanbod langs elektronische weg heeft aanvaard, bevestigt de ondernemer onverwijld langs elektronische weg de ontvangst van de aanvaarding van dat aanbod. Zolang de ontvangst van deze aanvaarding niet door de ondernemer is bevestigd, kan de gebruiker de overeenkomst ontbinden.
- Indien de overeenkomst langs elektronische weg tot stand komt, treft de ondernemer passende technische en organisatorische maatregelen ter beveiliging van de elektronische overdracht van data en zorgt zij voor een veilige webomgeving. Indien de gebruiker elektronisch kan betalen, zal de ondernemer daartoe passende veiligheidsmaatregelen in acht nemen.
- Indien bij de ondernemer na het sluiten van de overeenkomst ter harer kennis gekomen omstandigheden haar goede grond geven te vrezen dat de gebruiker niet aan de betalingsverplichting gaat voldoen, mag de ondernemer de nakoming van haar deel van de overeenkomst opschorten, de overeenkomst ontbinden of aan de uitvoering van de overeenkomst bijzondere voorwaarden verbinden.
- De ondernemer stuurt de gebruiker bij de dienst de volgende informatie, schriftelijk of op zodanige wijze dat deze door de gebruiker op een toegankelijke manier kan worden opgeslagen op een duurzame gegevensdrager, mee:
- het bezoekadres van de vestiging van de ondernemer waar de gebruiker met klachten terecht kan;
- de voorwaarden waaronder en de wijze waarop de gebruiker van het ontbindingsrecht gebruik kan maken, dan wel een duidelijke melding inzake het uitgesloten zijn van het ontbindingsrecht;
- de informatie over garanties en bestaande service na aankoop of levering;
- de vereisten voor opzegging van de overeenkomst indien de overeenkomst een duur heeft van meer dan één jaar of van onbepaalde duur is.
Hoofdstuk 3 Uitvoering van de overeenkomst
- Levering
- De ondernemer neemt de grootst mogelijke zorgvuldigheid in acht bij de beoordeling van aanvragen tot verlening van diensten en bij de uitvoering van de opdracht.
- Ondernemer vergewist zich bij het aanvaarden van een opdracht over de juiste voor vervulling daarvan noodzakelijke kennis en kunde te (kunnen) beschikken.
- Indien de uitvoering van de activiteit moet worden verplaatst, of indien de activiteit niet, dan wel slechts gedeeltelijk kan worden uitgevoerd, ontvangt de gebruiker hiervan onverwijld bericht. De gebruiker heeft in dat geval het recht om de overeenkomst te ontbinden.
- Indien tussen ondernemer en gebruiker een termijn voor levering van de dienst is overeengekomen, is deze termijn geen fatale termijn, tenzij expliciet anders is overeengekomen.
- Het overschrijden van de termijn levert geen grond op voor schadevergoeding of ontbinding, tenzij expliciet is opgenomen dat de termijn een fatale termijn betreft.
Hoofdstuk 4 Bijzondere bepalingen
- Registreren
- Gebruiker is verplicht zich te registreren bij ondernemer, door middel van het aanmaken van een account, alvorens gebruik te kunnen maken van de dienstverlening van ondernemer.
- De informatie die ondernemer verzamelt voor het aanmaken van een account is noodzakelijk voor het uitvoeren van de dienst.
- Gebruiker is verplicht bij registratie de juiste, door ondernemer opgevraagde informatie te verstrekken. Indien de gegevens noodzakelijk voor het uitvoeren van de dienst wijzigen, brengt gebruiker ondernemer daarvan onverwijld op de hoogte.
- Na het aanmaken van een account kiest gebruiker een unieke gebruikersnaam en wachtwoord. Wachtwoorden en gebruikersnamen zijn persoonlijk en mogen met niemand gedeeld worden.
- Geheimhouding
- Beide partijen zijn verplicht tot geheimhouding van alle vertrouwelijke informatie die zij in het kader van hun overeenkomst van elkaar of uit andere bron hebben verkregen. Informatie geldt als vertrouwelijk als dit door de andere partij is medegedeeld of als dit voortvloeit uit de aard van de informatie.
- Indien, op grond van een wettelijke bepaling of een rechterlijke uitspraak, gebruiker gehouden is vertrouwelijk informatie aan door de wet of de bevoegde rechter aangewezen derden mede te verstrekken, en gebruiker zich ter zake niet kan beroepen op een wettelijk dan wel door de bevoegde rechter erkend of toegestaan recht van verschoning, dan is gebruiker niet gehouden tot schadevergoeding of schadeloosstelling en is de wederpartij niet gerechtigd tot ontbinding van de overeenkomst op grond van enige schade, hierdoor ontstaan.
- Intellectuele eigendom
- Ondernemer behoudt te allen tijde het recht op alle intellectuele eigendom, welke voortvloeien uit of het resultaat zijn van de door ondernemer geleverde dienst, tenzij expliciet anders is overeengekomen.
- Alle rechten van intellectuele of industrieel eigendom, alsmede soortgelijke rechten tot bescherming van informatie, welke betrekking hebben op de door ondernemer vervaardigde en aan gebruiker geleverde producten en/of diensten, blijven eigendom van ondernemer. Niets in de met gebruiker gesloten of te sluiten overeenkomst strekt tot overdracht van zodanige rechten, tenzij expliciet anders is overeengekomen.
- Gebruiker verkrijgt, tenzij partijen expliciet anders zijn overeengekomen, slechts een niet exclusief en niet overdraagbaar gebruiksrecht tot het gebruik van de producten en resultaten van de diensten voor de overeengekomen doelstellingen. Gebruiker zal zich bij zulk gebruik strikt houden aan de voorwaarden, neergelegd in de Algemene Voorwaarden of anderszins aan gebruiker opgelegd.
- Gebruiker is niet gerechtigd de producten en resultaten van diensten aan te wenden anders dan ten behoeve van het gebruik van de zaken waarop zij betrekking hebben.
- Gebruiker is niet gerechtigd de producten en resultaten van de diensten of de daarin besloten of op andere wijze aan hem/haar bekend geworden gegevens te verveelvoudigen en/of aan derden te openbaren, tenzij ondernemer uitdrukkelijk schriftelijk toestemming hiervoor geeft.
- Gebruiker zal aanduidingen van ondernemer of haar leveranciers betreffende auteursrechten, merken, handelsnamen of andere rechten van intellectuele eigendom niet verwijderen of wijzigen.
- Ondernemer staat ervoor in dat zij gerechtigd is het gebruiksrecht aan gebruiker te verstrekken en vrijwaart gebruiker tegen eventuele aanspraken van derden terzake. Deze bepaling is niet van toepassing indien en voorzover de producten en/of resultaten van de diensten zijn gewijzigd en/of indien deze zijn geleverd in samenhang met goederen van derden, tenzij gebruiker in het laatst genoemde geval aantoont dat de aanspraken van derden uitsluitend betrekking hebben op de door ondernemer geleverde producten en/of resultaten van de diensten.
- Bij overtreding van het in de voorgaande leden bepaalde is gebruiker aan ondernemer voor iedere overtreding een boete van €4500,00 verschuldigd, ongeacht de overige rechten van ondernemer op nakoming, ontbinding, schadevergoeding en dergelijke.
- Naleven wet- en regelgeving
- Gebruiker verricht geen handelingen in strijd met deze overeenkomst, dan wel in strijd met wet- of regelgeving.
- Gebruiker gebruikt het platform slechts waarvoor het bedoelt is. Gebruiker laat iedere handeling na, waarvan zij weet dat het platform, dan wel de mede gebruiker schade kan berokkenen.
- Hosting en service
- Opdrachtgever zal geen informatie publiceren of aanbieden via (de servers van) ondernemer die in strijd is met Nederlands recht. Hieronder valt in het bijzonder maar niet uitsluitend informatie die zonder toestemming van de auteursrechthebbende
wordt aangeboden, informatie die smadelijk, bedreigend, beledigend, racistisch, haatzaaiend of discriminerend is, informatie die kinderpornografie bevat en informatie die de privacy van derden schendt of een vorm van stalking oplevert, evenals hyperlinks, torrents of andere verwijzingen naar dergelijke informatie op websites van derden waar dan ook ter wereld (zelfs wanneer de informatie in de betreffende jurisdictie legaal zou zijn). - Als een klacht, met betrekking tot het in lid 1 bepaalde, ondernemer bereikt en gerechtvaardigd is, is ondernemer gerechtigd het materiaal te verwijderen of ontoegankelijk te maken. Tevens is ondernemer in dat geval gerechtigd persoonsgegevens van opdrachtgever te verstrekken aan een melder of aan de bevoegde instanties. Ondernemer zal opdrachtgever informeren over het verloop van deze procedure.
- Wanneer sprake is van mogelijk strafbare informatie, is ondernemer gerechtigd hiervan aangifte te doen. Ondernemer kan hierbij alle relevante informatie over opdrachtgever en de informatie overhandigen aan de bevoegde instanties en alle andere handelingen verrichten die deze instanties ondernemer verzoeken te verrichten in het kader van het onderzoek.
- Bij herhaaldelijke (gegronde) klachten over de door opdrachtgever aangeboden informatie is ondernemer gerechtigd de overeenkomst te ontbinden en/of te beëindigen.
- Opdrachtgever vrijwaart ondernemer voor alle schade als gevolg van bovenstaande. Ondernemer is niet aansprakelijk voor welke schade dan ook die opdrachtgever lijdt door een ingrijpen van ondernemer in het kader van de klachtprocedure, zelfs niet wanneer de klacht onterecht blijkt en de informatie niet in strijd is met Nederlands recht.
- Opdrachtgever onthoudt zich ervan overige opdrachtgevers of internetgebruikers te hinderen of schade toe te brengen aan de servers. Het is opdrachtgever verboden processen of programma’s, al dan niet via de server, op te starten waarvan opdrachtgever weet of redelijkerwijs kan vermoeden dat zulks ondernemer, overige opdrachtgevers of internetgebruikers hindert of schade toebrengt. Ondernemer zal opdrachtgever op de hoogte stellen van eventuele maatregelen.
- Opdrachtgever zal zich houden aan de algemeen aanvaarde gedragsregels op het internet of netiquette, zoals vastgelegd in RFC1855 en toekomstige aanpassingen hiervan.
- Ondernemer kan een maximum stellen aan de hoeveelheid opslagruimte of dataverkeer per maand die opdrachtgever mag gebruiken in het kader van de dienst. Bij overschrijding van dit maximum is ondernemer bevoegd een extra bedrag in rekening te brengen, conform de bedragen voor extra dataverkeer die op de Website worden vermeld. Geen aansprakelijkheid bestaat voor gevolgen van niet kunnen verzenden, ontvangen, opslaan of wijzigen van gegevens indien een afgesproken limiet voor opslagruimte of dataverkeer is bereikt.
- Opdrachtgever verstrekt hierbij ondernemer een onbeperkte licentie om alle door opdrachtgever via de systemen van ondernemer verspreide materialen te verspreiden, op te slaan, door te geven of te kopiëren op elke door ondernemer geschikt geachte manier, echter uitsluitend voor zover dit redelijkerwijs nodig is ten behoeve van de nakoming van de overeenkomst door ondernemer.
- Naast de verplichtingen uit de wet is schade welke ontstaat door ondeskundigheid of het niet handelen conform bovenstaande punten voor rekening van opdrachtgever.
- Overmacht en storing
- Ondernemer kan, ten behoeve van onderhoud, aanpassing of verbetering van haar systemen, de systemen tijdelijk buiten gebruik stellen. Ondernemer probeert het buiten gebruik stellen van de systemen altijd te laten plaatsvinden op momenten waarop gebruiker daar de minste last van ondervindt. Ondernemer is niet aansprakelijk voor schade van de gebruiker als gevolg van het buiten gebruik stellen van de systemen.
- Indien bij het onderhoud en support of andere dienstverlening door of namens ondernemer gebruik wordt gemaakt van telecommunicatie faciliteiten, zijn partijen ieder voor zich verantwoordelijk voor de juiste keuze en tijdige beschikbaarheid daarvan aan hun zijde. Ondernemer is niet aansprakelijk voor verminking, onderschepping of verlies van gegevens of verwerkingsresultaten gedurende de verzending van gegevens met behulp van telecommunicatie faciliteiten.
- Ondernemer kan aanpassingen doen aan haar systemen ten behoeve van de functionaliteit of fouten. Indien ondernemer zulks aanpassingen doet, wordt gebruiker daarvan op de hoogte gesteld, voor zover mogelijk. Gebruiker kan niet afzien van de aanpassingen, wanneer de aanpassingen van toepassing zijn op een groep van gebruikers. Ondernemer is niet aansprakelijk voor schade van de gebruiker als gevolg van de aanpassingen aan de systemen.
- Ondernemer spant zich in de duur van de buiten gebruik stellen en de gevolgen van de aanpassing voor gebruiker tot een minimum te beperken. Daarnaast probeert ondernemer te allen tijde een indicatie te geven van de duur en de aard van de buitengebruikstelling of aanpassing.
- Indien ondernemer door overmacht niet in de mogelijkheid is te leveren, wordt de overeenkomst opgeschort. Indien de overmachtsituatie langer duurt dan 90 dagen staat het gebruiker vrij de overeenkomst te ontbinden. Ondernemer is niet aansprakelijk voor schade als gevolg van overmacht.
- Onder overmacht wordt in ieder geval verstaan storingen of uitvallen van internet, de telecommunicatie-infrastructuur, synflood, netwerkaanval, DoS- of DDoS-aanvallen, stroomstoringen, binnenlandse onlusten, mobilisatie, oorlog, stremming in het vervoer, staking, uitsluiting, bedrijfsstoornissen, stagnatie in toelevering, brand, overstroming, in- en uitvoer belemmeringen en in het geval dat ondernemer door zijn eigen leveranciers, ongeacht de reden daartoe, niet tot levering in staat wordt gesteld.
- Geen van de partijen is verantwoordelijk jegens de ander voor enige vertraging, non performance, verlies, beschadiging of verwondingen voortkomende uit natuurrampen of een ‘act of God’, stakingen, diskwalificatie, burger opstand, onrusten, oorlog, brand, explosie, sabotage, storm, overstromingen, aardbevingen, mist of het in beslag nemen van materialen en of manschappen voor nationaal gebruik.
Hoofdstuk 5 Ontbinden, schadevergoeding en geschillen
- Ontbinden, wijzigen, verplaatsen door gebruiker
- De gebruiker kan, na bevestiging van de overeenkomst door ondernemer, de overeenkomst zonder grond ontbinden.
- De gebruiker oefent het ontbindingsrecht uit door onverwijld aan de ondernemer een daartoe strekkende ondubbelzinnige verklaring te doen onder vermelding van de grond van ontbinding en de datum per wanneer de ontbinding intreedt.
- Indien de gebruiker gebruik maakt van zijn recht van ontbinding geldt als dag waarop de gebruiker de overeenkomst heeft ontbondende dag waarop de ondubbelzinnige verklaring de ondernemer heeft bereikt.
- Op de gebruiker rust de bewijslast voor de juiste en tijdige uitoefening van het recht van ontbinding.
- Ontbinden, wijzigen, verplaatsen door ondernemer
- De ondernemer kan zonder grond de overeenkomst ontbinden.
- Ondernemer deelt gebruiker schriftelijk, middels een ondubbelzinnige verklaring en onder vermelding van de oorzaak van de ontbinding onverwijld na het intreden van de vertraging, mee per welke datum de vertraging is ingetreden.
- Voor eventuele (verdere) schade is de ondernemer niet aansprakelijk. Uitsluitend gebruiker is aansprakelijk voor eventuele verdere schade door de ontbinding.
- Aansprakelijkheid
- Ondernemer is jegens gebruiker aansprakelijk voor zijn toerekenbare tekortkoming. Voor zover nakoming niet reeds blijvend onmogelijk is, vindt dit lid slechts toepassing met inachtneming van de wettelijke regeling van verzuim van de schuldenaar.
- Schadevergoeding
- Ondernemer is, in geval van een toerekenbare tekortkoming, slechts aansprakelijk voor vergoeding van directe schade.
- Iedere aansprakelijkheid van ondernemer is beperkt tot het bedrag dat in het desbetreffende geval uit hoofde van de door haar gesloten aansprakelijkheidsverzekering(en) wordt uitbetaald, vermeerderd met het bedrag van het eigen risico dat volgens de polisvoorwaarden voor rekening van ondernemer komt. Indien om welke reden dan ook geen uitkering krachtens voornoemde verzekeringen wordt verstrekt, geldt dat iedere aansprakelijkheid beperkt is tot het jaarlijks bedrag, dat is betaald voor de uitvoering van de dienst.
- Ondernemer kan niet aansprakelijk worden gehouden voor indirecte schade. Onder indirecte schade wordt mede verstaan:
- gevolgschade;
- gederfde winst;
- immateriële schade van de gebruiker;
- gemiste besparingen;
- bedrijfsstagnatie;
- waardevermindering van producten.
- Gebruiker is verantwoordelijk voor het op juiste wijze aanleveren van zijn persoonlijke informatie, zoals naam, adresgegevens en overige voor de juiste uitvoering van de overeenkomst benodigde informatie. Ondernemer kan niet verantwoordelijk worden gehouden voor schade voortkomend uit door gebruiker onjuist verstrekte informatie die nodig is voor het juist uitvoeren van de overeenkomst.
- Ondernemer is niet verantwoordelijk voor schade als gevolg van het delen of op andere wijze openbaar maken van gebruikersnaam en/of wachtwoord van gebruiker. Het opslaan van gebruikersnamen en/of wachtwoorden op duurzame gegevensdragers, dan wel op andere wijze door gebruiker komt volledig voor risico van opdrachgever. Daarnaast kan ondernemer geenszins aansprakelijk worden gehouden voor de onrechtmatige verspreiding van gebruikersnamen en/of wachtwoorden van gebruiker, indien gebruiker gebruikt maakt van derde hulpprogramma’s voor het bewaren of onthouden van de gebruikersnamen en/of wachtwoorden.
- Ondernemer is niet aansprakelijk voor schade aan een zaak van gebruiker, veroorzaakt door informatie in de app. In het bijzonder wordt hier gedoeld op schade aan schepen door het vastlopen vanwege het verkeerd geven van getijde informatie.
- Als uitgangspunt voor schadevergoeding wordt te allen tijde de stand van de wetgeving en techniek genomen ten tijde van het afsluiten van de overeenkomst. Ondernemer kan niet aansprakelijk worden gehouden voor schade voortkomend uit veranderde wetgeving of veranderde technieken na het sluiten van de overeenkomst, tenzij de ondernemer de verandering ten tijde van de overeenkomst bekend behoorde te zijn.
- Gebruiker is verplicht, tenzij zulks in verband met omstandigheden niet van hem kan worden gevergd, in goed overleg, ondernemer in de gelegenheid te stellen binnen een redelijke termijn voor diens rekening tekortkomingen, waarvoor ondernemer aansprakelijk is, te herstellen of de uit die tekortkomingen voortvloeiende schade te beperken of op te heffen onverminderd de aansprakelijkheid van ondernemer voor schade ten gevolge van de tekortkomingen.
- Bij de vaststelling van de schadevergoeding in geval van een overschrijding van de vertegenwoordigingsbevoegdheid wordt, naast met de overige van belang zijnde feiten en omstandigheden, rekening gehouden met de mate waarin de gebruiker door de gevolgen van de bevoegdheidsoverschrijding is gebaat.
- Een op grond van de voorgaande regels bepaalde schadevergoeding is niet van toepassing voor zover deze schadevergoeding in de gegeven omstandigheden naar maatstaven van redelijkheid en billijkheid onaanvaardbaar is.
- Klachten
- De ondernemer beschikt over een voldoende bekend gemaakte klachtenprocedure en behandelt de klacht overeenkomstig deze klachtenprocedure.
- Klachten over de uitvoering van de overeenkomst moeten binnen 14 dagen, volledig en duidelijk omschreven worden ingediend bij de ondernemer, nadat de gebruiker de gebreken heeft geconstateerd. Klachten kunnen door middel van een ondubbelzinnige verklaring, met inachtneming van het bepaalde in art 1 onder g van deze voorwaarden, bij de ondernemer worden neergelegd.
- Bij de ondernemer ingediende klachten worden binnen een termijn van 14 dagen gerekend vanaf de datum van ontvangst beantwoord. Als een klacht een voorzienbaar langere verwerkingstijd vraagt, wordt door de ondernemer binnen de termijn van 14 dagen geantwoord met een bericht van ontvangst en een indicatie wanneer de gebruiker een meer uitvoerig antwoord kan verwachten.
- Indien de klacht niet in onderling overleg kan worden opgelost ontstaat een geschil dat vatbaar is voor de geschillenregeling.
- Wijzigen van de Algemene Voorwaarden
- Ondernemer is steeds bevoegd deze algemene voorwaarden te wijzigen.
- Wijzigingen zullen voor de gebruiker slechts verbindend worden, indien de ondernemer de gebruiker van de wijzigingen van de algemene voorwaarden in kennis heeft gesteld en veertien dagen na dagtekening van deze kennisgeving zijn verstreken, zonder dat de gebruiker ondernemer schriftelijk te kennen heeft gegeven met de wijzigingen niet in te stemmen.
- Geschillen
- Op overeenkomsten tussen de ondernemer en gebruiker waarop deze algemene voorwaarden betrekking hebben, is uitsluitend Nederlands recht van toepassing.
- Alle geschillen tussen partijen die uit deze overeenkomst voortvloeien zullen, indien niet anders tussen partijen is overeengekomen, door de meest gerede partij worden voorgelegd aan de ter zake bevoegde Nederlandse rechter van de vestigingsplaats van ondernemer.
- Indien bij gerechtelijke uitspraak een of meer artikelen van deze voorwaarden ongeldig worden verklaard, zullen overige bepalingen van deze algemene voorwaarden volledig van kracht blijven en zullen ondernemer en gebruiker in overleg treden teneinde nieuwe bepalingen ter vervanging van de nietige, dan wel vernietigde bepalingen overeen te komen, waarbij zoveel mogelijk het doel en strekking van de nietige, dan wel vernietigde bepalingen in acht worden genomen.
TCC
